Consent to act as a director of a limited company

What’s a consent to act as a director of a limited company and when do you need one?

Use this letter for directors whom you wish to appoint to your board, whether as an executive or non-executive director. These directors are those who will be officially on the register of directors at Companies House.

You should get their formal written consent to the appointment ahead of you registering them with Companies House.

This template letter details the incoming director agreeing to accept the appointment, providing their own details as required by the register and certifying that they are not disqualified from acting as a director in the UK or any other jurisdiction.

Ideally, you will have met with the intended director before this stage, to explain both the role and what it will entail.

Directors who are appointed to a company’s board carry certain duties and liabilities. You should make sure that your intended director is aware of these and they are content to accept them.
